Ogier advises on £46bn Shire acquisition

An Ogier team, led by Partners Simon Dinning and Nick Williams, has advised Japan's Takeda Pharmaceutical on its £46bn (more than £63bn including Shire's debt) acquisition of Shire, creating one of the world's largest pharmaceutical firms.

The deal is reported to be the largest ever foreign takeover by a Japanese company.

The Ogier team advised on the Jersey law aspects of the deal, which was affected by way of a scheme of arrangement in Jersey, the highest value scheme to pass before the Royal Court in Jersey. The scheme became effective on 8 January.

Ogier worked alongside lead bidder counsel Linklaters on the deal. Simon Dinning, Global Head of Corporate, was supported by Senior Associate Kevin Grové, while Nick Williams, Head of Dispute Resolution in Jersey, was assisted by Senior Associate James Angus.

Also acting for Shire was Mourant, led by Partner Robert Hickling, with support from Partner Stephen Alexander, LP Partners Paul Martin and Jon Woolrich, Associates Amy Wilson and Rachel Needham, Partner Carla Benest and Consultant Katie Philipps.

The Mourant team managed the scheme process and acted as Jersey counsel alongside lead counsel Slaughter and May on the transaction.
